Terms of Use

1. Agreement to Terms

By accessing davidlabs.ca or using our products and services (“Services”), you agree to these Terms of Use (“Terms”). If you do not agree, do not use the Services.

2. Who We Are

David Labs LLC, a Delaware limited liability company, with operations in Toronto, Canada.

3. Changes

We may modify these Terms at any time by posting an updated version. Your continued use constitutes acceptance.

4. Services

We provide software and consulting, including: David (healthcare forensics), Guardian (browser extension), Khat (identity & messaging), Zubo (game), Boxo and Tastory (discovery apps). Specific features may be governed by separate terms or agreements.

5. Accounts & Access

  • You are responsible for account credentials and activity.
  • Provide accurate information and promptly update changes.
  • We may suspend or terminate access for violations.

6. Consulting

  • Standard rate: USD $75/hour unless otherwise agreed in writing.
  • Invoicing is due upon receipt unless stated otherwise.
  • Cancellations within 24 hours of a booked session may be billed up to one hour.
  • Deliverables and IP terms may be defined in a separate Statement of Work or Master Agreement.

7. Acceptable Use

  • No unlawful, infringing, or harmful activities.
  • No reverse engineering, scraping, or security circumvention.
  • No introduction of malware or interference with the Services.

8. User Content

If you submit content (e.g., messages, feedback), you grant us a non-exclusive, worldwide, royalty-free license to use it to operate and improve the Services. You represent you have all necessary rights to provide such content.

9. Intellectual Property

The Services, including software, designs, and trademarks, are owned by David Labs or its licensors and are protected by law. No rights are granted except as expressly provided.

10. Third-Party Services

We may link to or integrate third-party services. We are not responsible for their content, policies, or practices.

11. Open Source

Some components may be provided under open-source licenses. Those licenses govern the use of those components.

12. Disclaimers

AS IS. The Services are provided “as is” and “as available” without warranties of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation or that defects will be corrected.

13. Limitation of Liability

To the maximum extent permitted by law, David Labs and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to the Services shall not exceed the greater of USD $100 or the amounts you paid to us for the Services in the 3 months preceding the claim.

14. Indemnification

You agree to defend, indemnify, and hold harmless David Labs from any claims, liabilities, damages, losses, and expenses arising from your use of the Services or violation of these Terms.

15. Governing Law & Venue

These Terms are governed by the laws of the State of Delaware, excluding conflict of law rules. Exclusive jurisdiction and venue lie in the state or federal courts located in Delaware, USA.

16. Termination

We may suspend or terminate access at any time for any or no reason. Upon termination, sections intended to survive will remain in effect.

17. General

These Terms constitute the entire agreement between you and David Labs regarding the Services. If any provision is unenforceable, the remainder remains in effect. You may not assign your rights without our consent. Our failure to enforce a provision is not a waiver.
